Autorec Terms and Conditions

1 Introduction

These Terms and Conditions govern the use of Autorec, a dealer management system provided by Autorec Pty Ltd (“we,” “us,” “our”). By accessing or using Autorec, you agree to be legally bound by these terms, our Privacy Statement, and applicable laws, including the Australian Consumer Law and Motor Vehicle Dealers Act 1973 (WA).

2 Definitions

  • User: Any individual or entity accessing or using Autorec, including dealership staff or administrators.
  • Service: The Autorec dealer management system, including software, updates, and support services.
  • Account: A registered profile created by a User to access the Service.

3 Account Creation and Access

  • Users must create an account to access Autorec. You agree to provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • We reserve the right to suspend or terminate accounts for misuse, including unauthorized access or breach of these terms.

4 License

  • We grant you a non-exclusive, non-transferable license to use Autorec for your internal business purposes, subject to these terms.
  • You may not reverse-engineer, modify, or distribute the Service without our written consent.

5 User Obligations

  • You agree to use Autorec in compliance with all applicable laws, including the Privacy Act 1988 and Motor Vehicle Dealers Act 1973 (WA).
  • You must not use Autorec to store or process unlawful content or engage in activities that harm the system or other users.

6 Fees and Payment

  • Access to Autorec may require payment of subscription fees, as outlined in your agreement with us.
  • Fees are non-refundable except as required by law or in case of material changes to these terms (see Clause 11).
  • We may offer promotional discounts, subject to specific promotion terms provided at the time of offer.

7 Intellectual Property

  • All intellectual property in Autorec, including software, logos, and documentation, remains our property or that of our licensors.
  • User-generated content (e.g., data entered into Autorec) remains your property, but you grant us a license to use it to provide and improve the Service.

8 Limitation of Liability

  • To the extent permitted by law, we are not liable for indirect, consequential, or incidental damages arising from the use of Autorec.
  • Our liability is limited to the maximum extent permitted under the Australian Consumer Law, and we do not exclude non-excludable consumer guarantees.

9 Termination

  • You may terminate your use of Autorec by closing your account, subject to any subscription term obligations.
  • We may terminate or suspend your access for breach of these terms or non-payment of fees.
  • Clauses 7 (Intellectual Property), 8 (Limitation of Liability), and 10 (Privacy) survive termination.

10 Privacy

  • Our collection, use, and disclosure of personal information are governed by our Privacy Statement.
  • You agree to comply with the Privacy Act 1988 when handling personal information through Autorec.

11 Changes to Terms

  • We may update these Terms and Conditions with reasonable advance notice.
  • If a material change detrimentally affects your rights, you may terminate your agreement within 14 days of the change taking effect, with a pro-rata refund for any prepaid subscription fees.

12 Governing Law

These terms are governed by the laws of Western Australia. Any disputes will be resolved in the courts of Western Australia.
